Terms & Conditions

These Terms and Conditions (“Terms”) govern access to and use of Bizvitals, including its website, assessment flow, scoring system, automated reports, dashboards, communications, and any present or future digital or semi-digital service made available under the Bizvitals name. Bizvitals is owned and operated by Ameerang Enterprise Private Limited, having its registered office at Oscar Plaza, Opp. Copper Stone, Shop No. 6, Sadhu Vasvani Road, Rajkot 360005, Gujarat, India. For notices and support, the contact email is reachus@bizvitals.com. By accessing, browsing, registering, purchasing, clicking acceptance, submitting data, or using the Platform in any manner, the User agrees that these Terms form a binding agreement between the User and Ameerang Enterprise Private Limited. If the User does not agree, the User must not use the Platform.

Bizvitals is a business assessment and score-based reporting platform. It is designed to collect information provided by the User, process that information through Bizvitals’ methodology, and generate assessment outputs, scores, reports, insights, indicative action plans, recommendations, and related business guidance. The Platform is intended to help users understand business performance and business patterns, but it is not a substitute for legal, financial, tax, accounting, investment, insurance, or regulatory advice. Any score, report, recommendation, or action plan generated by Bizvitals is informational and diagnostic in nature. Final interpretation, implementation, and business decision-making remain entirely with the User. The User understands that the usefulness of any output depends on the quality, completeness, and accuracy of the information supplied by the User.

The Platform may be delivered through a website now and may in future be offered through a mobile application, WhatsApp workflow, partner channel, embedded experience, or other interface selected by Bizvitals. The User accepts that the Platform may change over time and that Bizvitals may modify, suspend, discontinue, improve, replace, add, or remove any feature, report format, question set, scoring logic, delivery channel, or commercial model at any time, with or without notice, subject to applicable law. The User also accepts that Bizvitals may launch new product lines in the future, including certifications, licensing, franchise systems, partner ecosystems, white-label services, or enterprise versions, and those offerings may be governed by separate terms or agreements.
Bizvitals currently offers assessments primarily on a one-time purchase basis, although the Platform may also provide free trials, preview access, demo access, or limited-use promotional access at Bizvitals’ discretion. The price of each assessment may differ depending on the assessment type, depth, complexity, commercial design, or associated service level. The User agrees that the price shown at the time of purchase is the price for that specific assessment and that Bizvitals may change its pricing, offers, discounts, bundles, and commercial structure at any time for future purchases. Nothing in these Terms guarantees that any offer, discount, or price will remain available beyond the point of purchase.

All payments shall be made through third-party payment processors or gateways selected by Bizvitals, including but not limited to Razorpay, Easebuzz, Stripe, or similar providers. The User acknowledges that such third-party providers operate under their own terms, security systems, settlement rules, risk controls, and operational processes. Bizvitals is not responsible for gateway failures, payment declines, duplicate charges, reversed transactions, pending settlements, bank-side delays, network issues, OTP problems, fraud checks, or other third-party payment interruptions, except to the extent liability cannot be excluded by law. The User must ensure that all billing details, authorizations, contact details, and payment credentials are accurate and valid. Bizvitals may retain payment records for accounting, legal compliance, support, dispute handling, and fraud prevention.

The refund policy is strict and final. Every purchase made on the Platform is non-refundable. No refund shall be made for any reason, whether the User changes their mind, delays use of the service, fails to complete the assessment, submits incomplete or incorrect information, does not understand the output, dislikes the result, misses the validity window, experiences technical issues on the User’s own device or internet connection, or later decides that the service is no longer required. No partial refund, no pro-rata refund, no conditional refund, no goodwill refund, and no exception-based refund shall apply unless Bizvitals expressly agrees in writing in a specific case. By making a purchase, the User confirms that they have reviewed the service description and accept that the transaction is final.

Each assessment shall remain valid only for the specific period stated for that assessment at the time of purchase, checkout, or communication made by Bizvitals. Different assessments may have different validity periods, and the User agrees that the applicable validity period is the one expressly shown or communicated for that particular assessment. If the assessment is not used, started, completed, or submitted within its stated validity period, it may expire automatically and permanently. Bizvitals shall have no obligation to reopen, extend, reissue, or reactivate an expired assessment. Where a delay in access is caused solely by a technical failure attributable to Bizvitals and not to the User, Bizvitals may, at its discretion, provide a reasonable extension or reissue; however, no such extension is guaranteed and no refund arises unless required by law.

The User may be required to create an account in order to purchase or use Bizvitals services. The User agrees to provide truthful, accurate, current, and complete information and to keep that information updated. The User is responsible for maintaining the confidentiality of passwords, OTPs, login credentials, device access, and any authentication method used to access the Platform. Any activity carried out through the User’s account shall be presumed to have been authorized by the User unless Bizvitals has been notified and can reasonably verify a different situation. Bizvitals may suspend, restrict, disable, or terminate any account at its sole discretion if the account appears to be fraudulent, compromised, misused, inactive in a way that affects service delivery, used for false inputs, used in breach of these Terms, or used in a manner that may create legal, commercial, reputational, or operational risk. Bizvitals may act with or without prior notice depending on the seriousness of the issue.

Bizvitals does not impose a blanket age restriction as a business policy and does not exclude a young person merely because the person is young. However, the User acknowledges that contractual capacity and authority under applicable law still matter. Where the purchaser is not of full legal capacity, or where a minor is involved in business activity, the purchase and use of the Platform must be supported by the consent, authorization, or supervision of a parent, guardian, lawful business owner, or other legally responsible adult who has authority over the transaction. Bizvitals may rely on the representation that such authority exists. If a purchase is made without the necessary authority, the person who made or authorized the purchase shall remain responsible for that transaction to the fullest extent permitted by law. Where personal data of a child is processed, Bizvitals will take such steps as may be required under applicable law, including obtaining verifiable consent from the parent or lawful guardian where required. 

The User agrees to use the Platform only for lawful purposes and in a manner that does not damage, disrupt, overload, scrape, reverse engineer, copy, interfere with, attack, or misuse the Platform or any part of it. The User shall not submit false, manipulated, misleading, inflated, or intentionally distorted information. The User shall not attempt to extract, reproduce, infer, decode, or replicate the Platform’s internal logic, score architecture, question structure, report structure, or business methodology. The User shall not use the Platform for fraud, impersonation, unlawful gain, harassment, defamation, unlawful competition, or any similar misconduct. The User shall not allow unauthorized persons to access the account or use the reports in a way that misrepresents Bizvitals’ role or the nature of the output. Bizvitals may investigate suspicious activity and may take any reasonable action necessary to protect its business, users, systems, and intellectual property.

All rights, title, and interest in and to Bizvitals, including the brand name, logos, content, assessment format, report design, scoring logic, question flow, wording, methodology, software, visual presentation, templates, documentation, training material, and related intellectual property, shall remain the exclusive property of Ameerang Enterprise Private Limited or its licensors, as applicable. The User receives only a limited, revocable, non-exclusive, non-transferable right to access and use the Platform and the report generated for the User’s internal business understanding. The User may share a report within the User’s own business or with professional advisors for internal informational purposes, but the User may not resell, license, sublicense, publish, copy, reproduce, repurpose, distribute, translate, modify, adapt, commercially exploit, or create derivative works from any part of the Platform or any Bizvitals content. The User may not use the Platform or its outputs to build a competing service, competing product, training program, consulting offering, benchmark product, or commercial framework.

Any feedback, suggestion, correction, comment, idea, or improvement note provided by the User may be used by Bizvitals freely, without compensation, attribution, or obligation, for product improvement, future development, research, commercial use, or operational use, to the fullest extent permitted by law. The User acknowledges that Bizvitals may independently develop similar concepts, methods, structures, or product ideas, and that the existence of similar future features or products shall not by itself create any claim against Bizvitals.

The User agrees that Bizvitals may collect, store, process, analyze, retain, and use the information submitted by the User for assessment delivery, report generation, quality control, internal recordkeeping, customer support, product improvement, fraud prevention, and other legitimate business purposes. Bizvitals may also use data in aggregated or anonymised form for benchmarking, research, and performance analysis. For the purpose of these Terms, “anonymised benchmarking” means combining data so that no individual User or identifiable business is singled out, while still allowing Bizvitals to identify general patterns, averages, ranges, trends, or segment-level comparisons. Bizvitals will not intentionally publish personally identifying business data without a lawful basis, and any personal data handling will be governed by the Privacy Policy and applicable law. The User acknowledges that data submitted to the Platform may be retained for lawful operational and compliance reasons and may later be used in future product development, subject to legal limits and the Privacy Policy. The DPDP Act provides users with rights around notice, access, correction, erasure, grievance redressal, and child-data protections, so these Terms operate together with a separate Privacy Policy rather than replacing it. 

Bizvitals may use third-party services, tools, and vendors to operate the Platform. These may include hosting providers, cloud infrastructure, analytics tools, artificial intelligence tools, email systems, messaging systems, payment gateways, and security tools. The User understands that such services are separate from Bizvitals and may be governed by their own third-party terms. Bizvitals shall not be liable for the independent acts, omissions, interruptions, security incidents, service limitations, or failures of any third-party provider, except where liability cannot be excluded by law. The User also understands that AI-generated or system-generated outputs can only be as good as the inputs supplied and that no automated service can replace human business judgment.

Bizvitals may communicate with the User through email, SMS, WhatsApp, push notification, dashboard notices, website messages, or any other channel Bizvitals considers operationally appropriate. The User consents to receive transactional, service-related, account-related, assessment-related, and support-related messages as part of using the Platform. The User is responsible for keeping contact information accurate so that important notices are not missed. Bizvitals shall not be responsible for communication failure caused by wrong contact details, spam filters, device issues, carrier issues, or third-party delivery failures.

Bizvitals may suspend, restrict, or terminate access to the Platform immediately if it believes the User has violated these Terms, provided false data, misused the Platform, attempted a chargeback abuse, infringed intellectual property, created security risk, caused harm to another user or to Bizvitals, or otherwise exposed Bizvitals to legal, commercial, or operational risk. Bizvitals may also discontinue a service, remove a feature, withdraw a report, or stop offering a particular assessment as a business or legal decision. No refund or compensation shall be payable on account of such suspension, termination, or discontinuation unless Bizvitals expressly agrees otherwise in writing or applicable law requires otherwise. This approach is consistent with the way major SaaS providers reserve suspension and termination rights for breach, misuse, compliance, or service protection. 

The Platform and all reports are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Bizvitals makes no promise that the Platform will be uninterrupted, error-free, fully secure in every circumstance, or suitable for every business model or business outcome. Bizvitals does not warrant that any score, report, recommendation, or action plan will be complete, accurate, current, or sufficient for any particular purpose. The User acknowledges that business outcomes depend on many external factors beyond Bizvitals’ control, and that any reliance on the Platform is made at the User’s own judgment and risk. Nothing in these Terms shall be interpreted as a guarantee of results, profits, savings, growth, or success.

To the maximum extent permitted by applicable law, Ameerang Enterprise Private Limited, Bizvitals, and their directors, officers, employees, agents, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or speculative loss arising from or connected with the Platform, any assessment, any report, any recommendation, any delay, any technical failure, any third-party failure, any data loss, any account suspension, any pricing change, any missed opportunity, any business decision, any revenue loss, any profit loss, or any other commercial or operational impact. Where liability cannot be excluded by law, it shall be limited to the minimum extent permitted by law and, where legally possible, to the amount actually paid by the User for the specific service giving rise to the claim. The User agrees that Bizvitals is not responsible for a business decision made by the User solely on the basis of a score, report, recommendation, or action plan.

The User agrees to indemnify, defend, and hold harmless Ameerang Enterprise Private Limited, Bizvitals, and their directors, officers, employees, agents, affiliates, contractors, and service providers from and against claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to the User’s breach of these Terms, false data submission, misuse of the Platform, violation of law, infringement of third-party rights, unauthorized sharing of reports, fraud, chargeback abuse, or any conduct by the User that causes harm to Bizvitals or any third party. This indemnity survives termination of the User’s account and survives cessation of use of the Platform.

Bizvitals may change these Terms at any time for legal, operational, commercial, security, or product reasons. When Bizvitals updates these Terms, the revised version will be posted or otherwise made available through the Platform, and continued use of the Platform after the updated Terms become effective shall mean acceptance of the updated Terms. The User should review the Terms periodically, especially before making any new purchase or using any new feature. Bizvitals may also change the Platform, the assessment structure, the pricing structure, the report format, or the service architecture without separate consent where permitted by law and where the change is part of ordinary product operation.

Bizvitals may, in the future, introduce certifications, franchise arrangements, licensing arrangements, partner programs, reseller programs, white-label solutions, or enterprise packages. Any such future services may be subject to separate commercial agreements, onboarding requirements, confidentiality rules, usage restrictions, brand guidelines, training rules, and payment terms. Nothing in these Terms creates any right to a future franchise, license, certification, or partnership.

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to any separate written agreement for a specific enterprise, partner, franchise, or licensing arrangement, the courts at Rajkot, Gujarat shall have exclusive jurisdiction over all disputes, claims, or proceedings arising out of or relating to these Terms, the Platform, any payment, any assessment, any report, or any User conduct. Because agreements restraining legal proceedings are treated carefully under the Indian Contract Act and arbitration must be structured with precision, Bizvitals is keeping court jurisdiction as the default forum here, with any later arbitration arrangement to be set out in a separate written clause or separate agreement if needed. 

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remainder of the Terms shall continue in full force and effect. Bizvitals’ failure to enforce any right immediately shall not be treated as a waiver of that right. These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between the User and Bizvitals regarding the Platform and the services offered under it. No oral statement, informal promise, or external communication shall override these Terms unless Bizvitals confirms it in writing.
